As ViacomCBS announced last night, it will run concurrent offerings of $2 billion worth of new Class B common stock and $1 billion worth of Series A mandatory convertible preferred stock.

What happened

Shares of media company ViacomCBS ( NASDAQ:VIAC) fell as much as 40% on Friday after being downgraded by an analyst. At 2:40 p.m. EDT, shares were still down 33.1% and heading for a very poor end to the week.

So what

Wells Fargo analyst Steven Cahall was the one driving the drop today, lowering his rating on ViacomCBS stock to underweight and lowering the price target from $82 to $59 per share. That one-year price target is well below the $66.35 per share that the stock ended at yesterday.

Now what

Shares of ViacomCBS shot higher early in the year on the hope that streaming would remake the business. But shares may have gotten ahead of themselves, and Paramount+ has a lot to prove before it will be considered one of the streaming powerhouses.

Viacom - YOLO trade gone wrong

Many analysts were puzzled why an old media company albeit with some mildly interesting assets but nevertheless low growth prospects would suddenly attract such a fervent following.

Wallstreetbets Again?

The stock found some love on wallstreetbets website where some of the retail speculators poured into the company’s option chain quickly snatching millions of profits in a matter of weeks. Still VIAC was a large capitalization stock and its ascent lacked the type of coordinated gang based behavior we’ve seen in stock such as GME or AMC.

The Shadow World of Equity Swaps

It turns out the culprit behind the move was an off exchange transaction called an equity swap. An equity swap is a custom contract between two parties to exchange the difference in the value of a particular stock from the start of the contract until such time that the contract ends.

Could it destabilize the whole market?

Leverage is a two edged sword of course and as we already noted when it is applied to the retail order flow the spillovers are manageable. However, Mr. Hwang positions were so large and so concentrated that they managed to impact the whole equity market.

The VIAC stock slide continued for another three weeks — albeit at a much less dramatic pace. Today, it trades in the $40 range, a position it hasn’t deviated from in a major way for months.

Bottom Line on VIAC Stock

ViacomCBS has left the drama of spring 2021 behind it. Investment analysts still aren’t fully convinced that now is the time to pull the trigger, but cracks are showing. Those polled by CNN Business still have it rated as a consensus “Hold,” but they are looking more positive than they did in May.
