Restricted stock units: An RSU is the right to receive a set number of shares upon the completion of a condition. Typically the condition is simply staying with the company for a period of time but can include sales or project benchmarks. RSUs have become the most common form of equity compensation paid by public companies, which is good for you because they are far simpler than the alternative. Plus, since you pay nothing, you get a pre-tax gain no matter what happens to the stock. The RSUs, however, are taxed as income to you when they vest. The value at vesting becomes your basis in the stock and if the value is lower when you sell, you will end up with a capital loss.
What is the difference between stock options and nonqualified options?
There are two types of stock options -- nonqualified stock options and incentive stock options. The main difference between the two is tax treatment. With nonquals you owe ordinary income tax when you take ownership of your shares on the difference between your exercise price and their value. Any further gain on the stocks is taxed when you sell the shares as a capital gain. With ISOs you have the opportunity to avoid the higher ordinary income tax and take all your profits at the lower long-term capital gains rate---sort of. This tax benefit is limited by the alternative minimum tax (AMT) you must pay when you take ownership. After the 2000 tech bust, some rank and file workers were shocked to owe huge AMT tax bills on stock they never had a profit on---because it had crashed and burned before they sold. (A special tax credit was passed in 2006 to help them .) If you've got ISOs, check out Fairmark.com's guide to ISOs and AMT and consider paying a tax professional to help you come up with a tax-savvy exercise plan.
